1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of insightbridgeltd.com and any advisory services, toolkits, reports, dashboards, retainers, or masterclasses offered by Insight Bridge Associates Ltd (“Insight Bridge”, “we”, “us”, or “our”) (together, the “Services”). By purchasing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Our Services

Insight Bridge provides advisory and related digital offerings across five areas — Business, Data, Information, Human Resources, and Technology — including but not limited to:

The Strategy & Business Growth Toolkit (digital download).
Data Intelligence Reports and a subscription dashboard.
Virtual Advisory Retainers, billed monthly.
The HR Systems & People Analytics Pack (digital download).
Digital Transformation & Technology Audits.
The Executive Masterclass Series.

We may add, modify, or discontinue any product or service at our discretion, with reasonable notice where an existing subscription or retainer is affected.

3. Eligibility

Our Services are intended for businesses and professionals. By using the Services, you confirm that you are at least 18 years old and have the authority to enter into these Terms on your own behalf or on behalf of the organisation you represent.

4. Fees and Payment

All fees are stated in USD unless otherwise indicated and are payable in advance unless we agree otherwise in writing.

Payments are processed securely through our payment partner, Payonus. By making a payment, you authorise Payonus to process the transaction on our behalf. We do not store your card or bank details.

Toolkits and packs (one-time purchase): full payment is required before download access is granted.
Subscriptions (e.g. Data Intelligence Reports): billed monthly and renew automatically until cancelled.
Retainers: billed monthly in advance, for the scope of advisory work agreed with you.
Masterclasses and bookable engagements: full payment is required to confirm your seat or session.

You are responsible for any applicable taxes and for keeping your payment details with Payonus up to date.

5. Refunds and Cancellations

Because our digital products (toolkits, packs, and reports) are delivered instantly and are accessible immediately upon payment, all sales of digital products are final and non-refundable once access has been granted or the file has been downloaded.

Advisory retainers may be cancelled by either party with 30 days’ written notice; fees already paid for the current billing month are non-refundable, but no further charges will apply after the notice period ends.

Subscriptions (dashboards/reports) may be cancelled at any time, effective at the end of the current billing cycle; we do not refund partial months.
Masterclass enrolments are non-refundable but may be transferred to a future cohort with at least 7 days’ notice before the session, subject to availability.

Refunds may be considered at our sole discretion where a technical fault on our part prevented access to a purchased product or service.

6. Intellectual Property

All toolkits, reports, dashboards, frameworks, training materials, and other content we provide (the “Materials”) are the intellectual property of Insight Bridge Associates Ltd or its licensors and are protected by Nigerian and international copyright law.

When you purchase a product or engage our Services, we grant you a limited, non-exclusive, non-transferable licence to use the Materials for your own internal business purposes. You may not resell, redistribute, publicly share, or repackage the Materials without our prior written consent.

7. Confidentiality

In the course of an advisory engagement, we may exchange confidential business information. Each party agrees to keep the other’s confidential information private and to use it only for the purposes of the engagement, except where disclosure is required by law.

8. Client Responsibilities

You agree to provide accurate information, respond to requests in a timely manner, and use the Materials and advice we provide lawfully and in good faith. Advisory recommendations depend on the accuracy and completeness of the information you provide to us.

9. No Guarantee of Results

Our advisory Services, toolkits, and reports are provided to support your decision-making. They do not constitute legal, tax, or financial advice, and we do not guarantee any specific business outcome, financial result, or performance improvement. Any figures, projections, or case studies we share are illustrative and for general guidance only.

10. Limitation of Liability

To the fullest extent permitted by Nigerian law, Insight Bridge Associates Ltd shall not be liable for any indirect, incidental, special, or consequential loss, including loss of profits, revenue, or data, arising from your use of the Services. Our total aggregate liability for any claim arising from these Terms shall not exceed the amount you paid to us for the specific product or service giving rise to the claim in the preceding 3 months.

11. Termination

We may suspend or terminate your access to the Services if you breach these Terms, fail to make payment when due, or misuse the Materials. You may stop using the Services or cancel a subscription or retainer at any time in accordance with Section 5.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the Services shall first be addressed through good-faith negotiation between the parties and, failing resolution, shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Changes to These Terms

We may update these Terms from time to time. The “Effective date” above reflects the most recent revision. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
